These Terms of Use (hereinafter “Terms”) govern access to and use of the website https://www.keldarx.com (hereinafter “the Website”), published by KELDARX inc, formerly Services Du Numérique Naparty Inc., a corporation incorporated in Quebec (Canada), NEQ 1174429754.
By accessing the Website, you acknowledge that you have read, understood and accepted these Terms without reservation. If you do not accept any of these terms, please immediately cease using the Website.
These Terms may be updated periodically. The version in force is the one published on this page, identified by its revision date. You are responsible for reviewing them regularly.
1. Access to the Website
The Website is freely accessible to any user with an Internet connection. Costs associated with such access (Internet subscription, equipment) are the sole responsibility of the user.
KELDARX makes every effort to ensure the availability of the Website, but does not guarantee continuous, uninterrupted access. Access may be suspended, restricted or interrupted at any time, in particular for reasons of maintenance, security or force majeure, without notice and without any liability on the part of KELDARX.
2. Permitted Uses
The Website is made available for informational purposes. You are authorized to:
– Browse the pages and content published on the Website;
– Print or download excerpts for your personal and non-commercial use, provided that you do not modify the documents, do not dissociate graphic elements from the corresponding text, and include copyright notices on any copy;
– Share links to the Website, provided this does not create a misleading association with KELDARX.
3. Prohibited Uses
The following uses of the Website are strictly prohibited:
– Reproducing, copying, distributing, reselling or commercially exploiting all or part of the Website’s content without the prior written authorization of KELDARX;
– Modifying, adapting, hacking or attempting to circumvent the Website’s security measures;
– Introducing viruses, malicious scripts, web scraping bots, or any code likely to impair the operation of the Website or its servers;
– Reverse engineering any element of the Website or the KEY platform, or attempting to extract its source code, architecture or algorithms;
– Creating frames or mirrors of the Website on another server without written authorization;
– Using the Website for illegal, fraudulent, defamatory purposes, or in any way that infringes the rights of third parties;
– Collecting personal data from other users by any means whatsoever;
– Sending unsolicited communications (spam) via the contact forms.
KELDARX reserves the right to suspend or block access for any user who fails to comply with these obligations, without notice or compensation.
4. Intellectual Property
All elements of the Website — texts, images, logos, graphics, videos, visual architecture, source code, trade names and trademarks — are the exclusive property of KELDARX inc or have been licensed for use, and are protected by Canadian and international intellectual property laws.
The KELDARX trademark, the name KEY and associated logos are trademarks in the process of registration. Any unauthorized use constitutes an infringement that may give rise to civil and criminal liability.
The KEY platform, any current and future Business Solutions developed on KEY, their respective software architectures, algorithms and processing mechanisms constitute protected trade secrets. Any attempt to reproduce, extract or exploit them without authorization will be subject to legal proceedings.
All rights not expressly granted under these Terms are reserved.
The software, source code and content of the Website are protected by copyright in accordance with the Berne Convention for the Protection of Literary and Artistic Works (international union, 179 member states). This protection is automatic and requires no formal registration in most signatory countries.
5. Hyperlinks
Outbound links. The Website may contain links to third-party websites. These links are provided for informational purposes only. KELDARX exercises no control over these websites and accepts no responsibility for their content, availability or personal data practices.
Inbound links. You are authorized to create a link to the Website provided the following conditions are met:
– Do not reproduce the home page or create a mirroring effect;
– Do not remove, distort or modify our logos or graphic elements;
– Do not imply that KELDARX endorses your products, services or content;
– Your website must not contain any unlawful, offensive content or content that infringes the rights of third parties.
KELDARX reserves the right to revoke this authorization at any time.
6. Limitation of Liability
The Website and the information it contains are provided “as is”, without warranty of any kind, express or implied. KELDARX does not guarantee the accuracy, completeness or currency of the information published, and reserves the right to modify it without notice.
To the extent permitted by applicable law, KELDARX, its officers, employees and partners disclaim all liability for any direct, indirect, incidental, punitive or consequential damages arising from:
– The use of or inability to use the Website;
– Errors, omissions or inaccuracies in the content;
– Any unauthorized access to your data or equipment due to your use of the Website;
– Any content from third-party websites accessible via links from the Website.
Use of the Website is entirely at your own risk.
7. Electronic Communications
By using the contact forms or registering on our waitlist, you consent to receiving electronic communications from KELDARX. These communications may include information on the launch of the KEY platform, service updates and regulatory communications.

8. Personal Data

KELDARX complies with the General Data Protection Regulation (GDPR — EU 2016/679) for users residing in the European Union, and with Law 25 (Act to Modernize Legislative Provisions respecting the Protection of Personal Information) for users residing in Quebec.

9. Governing Law and Jurisdiction
These Terms are governed by the laws of the province of Quebec and applicable federal laws of Canada.
For users located in France or the European Union, the provisions of the French Digital Economy Confidence Act (LCEN) and Regulation (EU) 2016/679 (GDPR) apply in addition, in their entirety.
Any dispute relating to the interpretation or performance of these Terms shall be submitted, failing amicable resolution, to the exclusive jurisdiction of the courts of Montreal (Quebec, Canada). This clause does not deprive European consumers of the protections afforded by the mandatory laws of their country of residence.
For commercial disputes (B2B) involving parties established outside Canada and the European Union, KELDARX reserves the right to resort to international arbitration in accordance with the Arbitration Rules of the International Chamber of Commerce (ICC), with its seat in Montreal (Quebec). This clause does not apply to consumers.
10. Amendments to the Terms
KELDARX reserves the right to modify these Terms at any time, without notice. The version in force is the one displayed on this page, identified by its revision date.
Continued use of the Website after any modification constitutes acceptance of the new Terms. If you do not accept the new Terms, please cease using the Website.
11. Geographic Restrictions and Export Controls
The KEY platform incorporates advanced encryption technologies (including AES-256-GCM) classified as dual-use goods under the Wassenaar Arrangement and subject to Canadian export controls (Export and Import Permits Act — Group 5: Information and Telecommunications Technologies).
Excluded Territories.
Access to KELDARX services and the KEY platform is prohibited for individuals and legal entities residing, established or operating from the following territories:
– Islamic Republic of Iran
– Democratic People’s Republic of Korea (North Korea)
– Syrian Arab Republic
– Russian Federation (SEMA sanctions since 2022)
– Republic of Belarus (SEMA sanctions since 2021)
– Cuba
– Sudan
– Myanmar (Burma)
– Any territory or entity appearing on the sanctions lists published by Global Affairs Canada (GAC), the United States Office of Foreign Assets Control (OFAC), or the European Union
Compliance Obligation.
By accessing KELDARX services, you represent and warrant that:
– You are not a national or resident of a sanctioned territory;
– You are not acting on behalf of an entity or individual appearing on a sanctions list;
– You comply with all applicable export control laws in your jurisdiction.
KELDARX reserves the right to suspend or block access for any user who fails to comply with these restrictions, without notice or compensation. Any violation may result in civil and criminal proceedings in the competent jurisdictions.
12. Language of Reference and Machine Translations
This Website is available in French and English only. In the event of any discrepancy or inconsistency between the two versions, the French version shall prevail.
KELDARX does not provide translations of the Website in any other language. Any translation automatically generated by a browser or third-party tool (including Google Translate, Microsoft Translator or any equivalent service) is performed without KELDARX’s involvement or control. KELDARX accepts no responsibility for the accuracy, completeness or legal validity of such automatic translations. Users relying on such translations do so entirely at their own risk and are responsible for consulting the official versions (French or English) in case of doubt.
