Preambule
KELDARX inc (hereinafter “KELDARX”), a corporation governed by Quebec law, registered with the Registre des Entreprises du Québec under number NEQ 1174429754, with its registered office at 2001 Boulevard Robert-Bourassa, Suite 1700, Montréal (Quebec) H3A 2A6 – Canada, develops and markets the KEY platform, any current and future Business Solutions developed on KEY, and associated services (collectively, the “KELDARX Software”).
Intellectual property is a fundamental asset of KELDARX. This page sets out the framework of our compliance and anti-unauthorized-use program, applicable across all territories in which KELDARX operates.
1. Scope
This policy applies to any natural or legal person who uses, reproduces, distributes, sublicenses, modifies or accesses the KELDARX Software in any manner whatsoever, whether or not a formal license agreement is in force.
It applies internationally, in accordance with the intellectual property laws of the jurisdictions in which KELDARX markets its products or enforces its rights.
2. Legal Framework

3. Covered Infringements
- Possessing, installing or using a copy of the KELDARX Software without a valid and current license agreement
- Reproducing, copying or distributing the Software without the prior written authorization of KELDARX
- Using a license beyond its contractual scope (number of users, legal entities, territories, deployment environments)
- Using a demonstration, evaluation or test license in a production environment;
- Circumventing, removing or neutralizing any technical protection measure (activation mechanisms, license verification or access control)
- Sublicensing, assigning or transferring a license without the prior written consent of KELDARX
- Unauthorized access to features reserved for specific subscription tiers.
4. KELDARX Compliance Program
- Preventing any unauthorized use of its Software
- Offering any organization the opportunity to remediate its situation under transparent and fair conditions, prior to any legal proceedings
- Protecting its licensed customers and partners against unfair competition resulting from non-compliant usage.
5. Data Collection in the Context of Anti-Counterfeiting
In connection with the protection of its intellectual property rights, KELDARX may collect, process and retain data relating to alleged unauthorized access, activation or use of its Software (hereinafter “Compliance Data”).
Such Compliance Data may include, without limitation: license identifiers, activation and telemetry data, IP addresses, timestamps, and technical data relating to the execution environment.
Legal basis — This processing is based on KELDARX’s legitimate interest within the meaning of Article 6(1)(f) of the GDPR and the equivalent principles of Law 25 (modernized LPRPSP, Quebec), namely the protection and enforcement of intellectual property rights. It may also be based on a legal obligation or on the necessity of establishing, exercising or defending legal claims (Art. 6(1)(c) and 6(1)(e) GDPR).
Compliance Data is processed exclusively for the purposes of combating unauthorized use of KELDARX Software, exercising corresponding legal remedies, and preventing recurrence.

6. Reporting
Any person who becomes aware of suspicious or unauthorized use of KELDARX Software is invited to report it to us:

Reports may be submitted anonymously. Any information provided will be treated with the strictest confidentiality and will only be used for the purpose of protecting KELDARX’s intellectual property rights.
KELDARX will not take any adverse action against any person who reports suspected misuse in good faith.
7. Penalties and Remedies
Unauthorized use of KELDARX Software may give rise to:
Civil liability — KELDARX reserves the right to seek full compensation for damages suffered, including by way of injunction, seizure order or damages.
Criminal liability — Depending on the applicable jurisdiction, infringement of intellectual property rights may be subject to significant criminal penalties. For reference: in France, counterfeiting is punishable by 3 years’ imprisonment and a fine of €300,000 (Art. L.335-2 CPI), rising to 5 years and €500,000 in aggravating circumstances. In Canada, the Copyright Act provides for fines of up to CAD 1,000,000 and/or 5 years’ imprisonment for criminal infringement.
Operational consequences — Immediate deactivation of the license, suspension of access to support services, termination of any current agreement.
8. Remediation
KELDARX favors amicable resolution and encourages any organization to proactively remediate its situation before any legal proceedings are initiated.

9. Governing Law and Jurisdiction
This policy is governed by the laws of the competent jurisdiction as determined by the location of the infringement or by the applicable license agreement. For entities established in Quebec and Canada, Quebec and Canadian federal law applies. For entities established in the European Union, the applicable provisions of European Union law and national laws apply concurrently.

10. Language of reference and Machine Translations
This Website is available in French and English only. In the event of any discrepancy or inconsistency between the two versions, the French version shall prevail.
KELDARX does not provide translations of the Website in any other language. Any translation automatically generated by a browser or third-party tool (including Google Translate, Microsoft Translator or any equivalent service) is performed without KELDARX’s involvement or control.
KELDARX accepts no responsibility for the accuracy, completeness or legal validity of such automatic translations. Users relying on such translations do so entirely at their own risk and are responsible for consulting the official versions (French or English) in case of doubt.
